General Terms & Conditions

1. Parties

These General Terms & Conditions (hereinafter "T&C") govern the contractual relationship between:
Smartlux Group Sàrl, Place de la Gare 8C, 1580 Avenches, Vaud, Switzerland (hereinafter "SmartLux")
and any client, individual or business, using its services (hereinafter "the Client").
Placing an order implies full and unreserved acceptance of these T&C.

2. Services offered

SmartLux provides services in the following areas:

  • Home Automation (Domotics) — design, supply and installation of intelligent building management systems (lighting, blinds, heating, ventilation, scene control)
  • Security — installation and configuration of intrusion alarm systems, video surveillance (CCTV/IP), access control, intercom systems and fire detection
  • Automation — integration of KNX, Zigbee, Z-Wave and Matter protocols, and KNX/Loxone/Home Assistant platforms; bespoke automation of residential and commercial processes
  • Maintenance & After-Sales Service — preventive maintenance contracts, troubleshooting and remote maintenance of completed installations

3. Quotation and contract formation

Each service is subject to a free, no-obligation, detailed quote sent by e-mail to the Client. The quote specifies: the technical description of the equipment and works, quantities, unit prices and total price inclusive of VAT, and the estimated execution timeline.

The contract is formed upon receipt of the signed quote together with payment of the deposit specified in Article 5. Any modification requested by the Client after acceptance shall be formalised in a written amendment.

4. Pricing

All prices are in Swiss Francs (CHF), inclusive of VAT at the applicable Swiss rate. They include the supply of equipment, installation labour and commissioning. Travel costs beyond 30 km from the registered office are charged at a per-kilometre rate specified in the quote.

SmartLux reserves the right to revise its prices in the event of a significant change in the cost of materials or equipment; any revision is notified to the Client before work commences.

5. Payment terms

Unless otherwise specified in the quote:

  • 30% on order — deposit due upon signing the quote
  • 40% on delivery of equipment — before commencement of work
  • 30% on completion — after commissioning and Client sign-off

Accepted payment methods: bank transfer (IBAN CH) and cash. Invoices are payable within 30 days net. Any late payment shall automatically accrue default interest of 5% per annum without prior notice.

6. Execution timelines

Indicative timelines are stated in the quote. SmartLux makes every effort to meet them; however, they are not a firm commitment and may be extended in cases of force majeure, equipment delivery delays or Client-requested changes. The Client shall be notified promptly of any foreseeable delay.

7. Acceptance of works

Upon completion of the installation, a joint acceptance inspection is carried out in the Client's presence. An acceptance report is drawn up recording any reservations. Such reservations must be resolved within an agreed timeframe. Signature of the report constitutes acceptance of the installation and triggers the warranty period (Art. 8).

8. Warranties

Legal warranty (Swiss CO Art. 197 et seq.) — SmartLux warrants its installations against any non-conformity for 2 years from the date of acceptance.

Manufacturer warranty — Equipment benefits from the manufacturer's warranty (generally 2 to 5 years depending on the brand). SmartLux acts as the Client's point of contact for all warranty claims with the manufacturer.

The warranty does not cover damage resulting from abnormal use, unauthorised third-party intervention, failure of the electrical or internet network, or malicious acts.

9. Maintenance & after-sales service

SmartLux offers annual maintenance contracts including: one preventive annual inspection, firmware and software updates, and priority access to telephone support (business days, 08:00–18:00). Interventions outside a contract are billed at the current hourly rate plus a travel surcharge.

10. Liability

SmartLux's liability is limited to the net amount of the service in question. SmartLux cannot be held liable for indirect damages (loss of revenue, immaterial loss) nor for failures attributable to the Client's electrical or network infrastructure.

The Client is responsible for taking out adequate insurance (public liability, fire, theft) covering the installed equipment.

11. Cancellation & termination

In the event of cancellation by the Client after acceptance of the quote:

  • Before commencement of works: the deposit paid is retained as a flat-rate indemnity
  • After commencement of works: invoicing on a pro-rata basis for work completed and materials ordered or installed, plus a termination fee of 15% of the remaining balance

SmartLux reserves the right to terminate the contract in the event of a serious breach by the Client (non-payment, obstruction of works), following formal notice remaining unaddressed for 10 days.

12. Data protection

The processing of personal data collected in the performance of these T&C is governed by our Privacy Policy, in compliance with the Swiss Federal Act on Data Protection (revFADP).

13. Intellectual property

Bespoke configurations, programs, automation scenes and settings developed by SmartLux remain the intellectual property of SmartLux until full payment has been received. Upon receipt of full payment, the Client is granted a non-exclusive licence for their own use.

14. Applicable law & jurisdiction

These T&C are governed by Swiss law, in particular the Code of Obligations (CO). Any dispute relating to their interpretation or performance shall be subject to the exclusive jurisdiction of the courts of the Canton of Vaud (Switzerland), subject to prior amicable mediation.

16. Indicative quotation & on-site measurement

Any quotation issued on the basis of measurements provided by the Client is indicative only. SmartLux reserves the right to adjust the final price following a technical visit and on-site measurement. The final quotation will be confirmed in writing before any works commence. In the event of a discrepancy between the measurements provided and the actual measurements, SmartLux shall not be held liable for any resulting price difference.

17. Administrative authorisations & building permits

It is the Client's sole responsibility to verify with the competent municipal and cantonal authorities whether the planned works require a building permit, prior notification or any other administrative authorisation. SmartLux is not responsible for administrative procedures, nor for any consequences (fines, dismantling, reinstatement) arising from the Client's failure to obtain the required authorisation. Works may nonetheless commence upon written instruction from the Client, at the Client's sole risk.

18. Pre-work site inspection & site conditions

The Client undertakes to provide free and safe access to the worksite, as well as existing infrastructure (electrical supply, masonry, flooring) in a condition suitable for installation. SmartLux will carry out a site inspection during the technical visit. Any anomaly identified after works have commenced (defective masonry, non-compliant wiring, uneven flooring, etc.) will give rise to a supplementary price amendment. SmartLux cannot be held liable for pre-existing defects not reported by the Client.

19. Right to use images & commercial references

Unless the Client objects in writing before the acceptance of works, SmartLux is authorised to photograph and/or film completed installations for commercial reference purposes (website, social media, portfolio). Photos will be anonymised (no name, address or identifying information) unless the Client expressly agrees otherwise. This authorisation is granted free of charge and without time limitation.

20. Force majeure & exceptional circumstances

SmartLux shall not be held liable for any delay or non-performance resulting from a force majeure event, including: extreme weather conditions, supply chain disruptions, strikes, pandemics, administrative decisions, or any other unforeseeable and irresistible event. SmartLux will notify the Client as soon as possible and propose a new intervention date. No late penalties may be claimed under such circumstances.

21. Jointly-owned properties & common areas

For any installation in common areas (shared gate, intercom, lobby cameras, etc.), the Client certifies having obtained the necessary authorisations from the co-ownership, property manager or general assembly of co-owners, in accordance with the applicable co-ownership regulations. SmartLux cannot be held liable for the interruption or cancellation of works resulting from the absence of such authorisation. Any travel costs already incurred will be charged to the Client.

22. Additional warranty exclusions

In addition to Article 8, the following are expressly excluded from the warranty:

  • Damage resulting from abnormal use, impact, malicious acts or Client negligence
  • Damage caused by electrical surges, lightning or prolonged power outages
  • Interventions carried out by a third party not authorised by SmartLux
  • Normal wear and tear of mechanical parts (springs, cables, seals)
  • Damage resulting from failure to carry out the annual preventive maintenance recommended by SmartLux

Any warranty intervention will be preceded by a remote diagnosis. If the fault is found not to be covered by the warranty, a repair quotation will be submitted to the Client.

23. Late payment & default interest

Any payment overdue beyond 30 days net shall automatically and without prior notice entail:

  • Default interest at the applicable Swiss statutory rate (currently 5% per annum, Art. 104 CO)
  • A flat-rate collection fee of CHF 40.— per reminder issued
  • The right for SmartLux to suspend all ongoing services until full payment of all outstanding amounts

In the event of persistent non-payment, SmartLux reserves the right to have the installed equipment uninstalled at the Client's expense, with the retention of title clause remaining in force until full payment is received.

24. Modifications during works

Any modification requested by the Client after acceptance of the quotation (change of model, colour, dimensions or location) shall be subject to a written amendment signed by both parties before execution. No verbal modification will be taken into account. SmartLux reserves the right to invoice the additional costs incurred (materials, technician time, transport) together with a 10% surcharge for administrative management of the amendment.

25. Acceptance of T&C & signature

Acceptance of the quotation by the Client (by handwritten signature, electronic validation or payment of the deposit) constitutes full and unreserved acceptance of these General Terms & Conditions of Sale and Service in the version in force at the date of acceptance. The Client acknowledges having read them and waives the right to invoke their own general purchasing conditions. These T&C shall prevail over any prior document, verbal or written, exchanged between the parties.
